- Have the legal capacity to enter into binding contracts under the laws of your jurisdiction;
- Not be prohibited from receiving services under applicable law, including sanctions laws and export control regulations;
- Provide accurate, current, and complete registration information.
By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility and to refuse, suspend, or terminate access where eligibility requirements are not met.
Account Registration and Security
You must create an Account to access most features of the Service. When registering, you agree to:
- Provide truthful, accurate, and complete information including your name, professional designation, jurisdiction of practice, and a valid email address;
- Keep your registration information current and update it promptly upon any change;

Subscription, Fees, and Payment
5.1 Subscription Plans
Access to the Service is provided on a subscription basis according to the Plan selected by you. Plan details, pricing, query allowances, and storage limits are set out at our pricing page, which may be updated from time to time. In the event of conflict between these Terms and the pricing page, these Terms shall prevail.
Every paid Plan includes all features of the Service. Plans differ in monthly credit allowance, number of seats, access controls and support. You may change Plan at any time through your Account; upgrades take effect immediately and are charged pro-rata. Complimentary trial credits and pay-as-you-go credit packs may be used across all features.
5.2 Fees and Billing
Subscription fees are charged in advance on a monthly or annual basis, as selected at the time of subscription. By providing payment details and initiating a subscription, you authorise us (or our payment processor) to charge your payment method the applicable fees on each renewal date until your subscription is cancelled.
All fees are stated exclusive of applicable taxes. You are responsible for all taxes applicable in your jurisdiction on the fees you pay, unless Apoliticka or its payment processor is required by law to collect and remit such taxes on your behalf.
5.3 Credits — Strictly Prepaid
The Service operates on a strictly prepaid credit model on every Plan, including Enterprise. Credit-consuming features draw on your monthly Plan allowance and on any pay-as-you-go credit packs you have purchased in advance. We do not extend credit, do not permit a negative credit balance, and do not invoice for usage in arrears or charge overage fees.
When your available credit balance is insufficient for a requested action, that action will not proceed and will not be charged. Credit-consuming features resume once you purchase additional credits or your monthly allowance renews. Your Account, matters, documents and stored data remain accessible throughout, and non-credit-consuming features of the Service are unaffected.
Credit packs are purchased in advance, are consumed after your monthly allowance, and expire in accordance with the validity period stated at the time of purchase. Credits hold no cash value, are non-transferable between workspaces, and are not redeemable for cash or refundable except where required by applicable law. Optional auto top-up, where enabled by you, authorises us to charge your payment method for a further credit pack when your balance falls below the stated threshold; you may disable it at any time in your Account.
5.4 Free Tier
Apoliticka may offer a free tier subject to reduced query limits and feature restrictions, as stated on our pricing page. The free tier is provided on an as-is basis and may be modified, restricted, or discontinued at any time without notice.
5.5 Renewals and Cancellation
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your Account settings or by contacting us at legal@zealia.io. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law or at our sole discretion.
5.6 Price Changes
We may change subscription fees at any time upon not less than 30 days’ written notice to you by email or through a notice posted within the Service. Price changes will take effect at the start of your next billing period following the notice period. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing. If you do not accept the new pricing, you must cancel your subscription before the price change takes effect.
5.7 Disputed Charges
If you believe a charge is incorrect, you must notify us within 30 days of the charge appearing on your statement. We will investigate disputed charges in good faith. Failure to notify us within this period constitutes your acceptance of the charge.
Licence Grant
Subject to your compliance with these Terms and payment of applicable fees, Apoliticka grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your own internal, lawful purposes during the term of your subscription.
This licence does not permit you to:
- Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service or access to the Service;
- Use the Service to build a competing product or service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- Frame or mirror any part of the Service on any other server or device;
- Access the Service through automated means (bots, scrapers, crawlers) except through our published APIs and within applicable rate limits;
- Remove, alter, or obscure any proprietary notices, branding, or labels on the Service.
Nature of AI Outputs — Not Legal Advice
THIS SECTION IS OF CRITICAL IMPORTANCE. PLEASE READ IT IN FULL BEFORE USING THE SERVICE FOR ANY PROFESSIONAL PURPOSE.
The AI Outputs generated by Zealia are produced by artificial intelligence systems and are provided for informational and research assistance purposes only. AI Outputs do not constitute legal advice, legal opinions, or the practice of law.
Specifically, you acknowledge and agree that:
- AI Outputs may contain errors, inaccuracies, outdated information, or hallucinated citations — references to cases, statutes, or authorities that do not exist or that do not stand for the proposition cited;
- AI Outputs have not been prepared by a qualified lawyer and do not create a solicitor-client or advocate-client relationship between you and Apoliticka;
- AI Outputs must not be relied upon as a definitive statement of the law without independent verification by a qualified legal professional;
- AI Outputs must not be submitted to any court, tribunal, regulatory body, or other authority without independent review and verification of every cited authority by the responsible legal professional;
- You are solely responsible for verifying the accuracy, currency, and applicability of all AI Outputs before relying on them or incorporating them into any legal work product delivered to a client or submitted to any forum;
- Apoliticka does not warrant that AI Outputs are accurate, complete, current, or fit for any particular legal purpose.
FOR LEGAL PROFESSIONALS: Your use of Zealia does not diminish, modify, or discharge your professional obligations under the applicable laws, rules, codes of conduct, and ethical standards governing the legal profession in any jurisdiction in which you are admitted, licensed, or otherwise authorised to practise law, including obligations relating to competence, confidentiality, supervision, and the exercise of independent professional judgment. You remain personally responsible for all work products produced using or informed by the Service. Failure to verify AI Outputs before professional use may constitute a breach of your professional duties.
FOR MEMBERS OF THE PUBLIC: Zealia is not designed or intended for use by members of the public seeking legal advice. If you have a legal problem, please consult a qualified lawyer.
User Content
8.1 Your Ownership
As between you and Apoliticka, you retain all Intellectual Property Rights in your User Content, including Vault Documents. Nothing in these Terms transfers ownership of your User Content to Apoliticka.
8.2 Licence to Apoliticka
By submitting User Content to the Service, you grant Apoliticka a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, and display your User Content solely to the extent necessary to provide the Service to you. Apoliticka does not use your User Content, including Vault Documents and query inputs, to train, fine-tune, or improve any artificial intelligence or machine learning model, whether our own or any third party’s. Your content is processed by third-party AI service providers solely for the purpose of generating your requested AI Outputs, subject to those providers’ data processing agreements with Apoliticka.
8.4 Your Representations
You represent and warrant that:

- Is subject to confidentiality obligations that you are not authorised to waive by uploading to the Service;
- Contains classified government information or materials subject to legal professional privilege that you are not authorised to share.
Confidentiality and Professional Privilege
Apoliticka acknowledges that Vault Documents may include materials subject to legal professional privilege, litigation privilege, and professional confidentiality obligations. We treat all Vault Documents as confidential and implement access controls to ensure that Vault Documents are accessible only to the user who uploaded them and Authorised Users of the same Firm Account.
Notwithstanding the above, you acknowledge that:
- Vault Documents and query content are transmitted to and processed by third-party AI service providers as described in our Privacy Notice. You are responsible for assessing whether such transmission is consistent with your confidentiality and privilege obligations;
- Uploading privileged communications to a third-party cloud service may, depending on the applicable jurisdiction and circumstances, affect privilege. You should obtain independent legal advice if you are uncertain about the privilege implications of using the Service with client materials;
- Apoliticka is not your legal adviser and cannot advise you on whether uploading any specific document to the Service is consistent with your professional obligations.

We reserve the right to investigate any suspected violation of this Acceptable Use Policy and to suspend or terminate your Account without notice where we determine, in our reasonable discretion, that a violation has occurred.
Third-Party Services and Integrations
The Service integrates with and relies on third-party service providers, including providers of AI model processing and secure cloud data storage.
Apoliticka does not control and is not responsible for the availability, accuracy, or conduct of third-party services. Your use of any third-party service accessed through Zealia is subject to that service’s own terms and conditions. Apoliticka shall not be liable for any failure, interruption, or inaccuracy arising from a third-party service.
Case law, statutes, and other materials retrieved from third-party databases through the Service are provided for research purposes only. Apoliticka does not warrant the accuracy, currency, or completeness of third-party legal content. You must verify all retrieved legal materials against authoritative primary sources before professional use.
Intellectual Property
12.1 Apoliticka's Property
The Service, including all software, algorithms, user interface designs, branding, trademarks, logos, and AI systems underlying Zealia, is owned by or licensed to Apoliticka and is protected by Malaysian and international intellectual property laws. Nothing in these Terms transfers any Intellectual Property Rights in the Service to you.
12.2 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant Apoliticka an irrevocable, perpetual, worldwide, royalty-free licence to use, reproduce, and incorporate such Feedback into the Service without restriction or compensation to you.
12.3 AI Output Ownership
As between you and Apoliticka, AI Outputs generated in response to your queries and using your User Content as context are assigned to you, subject to: (a) Apoliticka’s Intellectual Property Rights in the underlying models and systems; (b) any rights of third-party database providers in retrieved content; and (c) your compliance with these Terms. You are solely responsible for ensuring that your use of AI Outputs does not infringe any third party’s Intellectual Property Rights.
Your Data and Confidentiality
Your use of the Service involves the handling of personal data. Our collection, use, and handling of personal data is described in our Privacy Notice, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Notice.
Vault Documents and the material you upload remain yours. You are responsible for ensuring you are entitled to upload that material to the Service, including where it contains information about your clients or other third parties. Apoliticka handles it in confidence, uses it only to provide the Service to you, and does not use it to train AI models.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
Apoliticka expressly disclaims all warranties, including but not limited to:
- Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement;
- Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
- Any warranty that AI Outputs will be accurate, complete, current, reliable, or suitable for any specific purpose(s) including but not limited to legal purpose;

15.3 Basis of the Bargain
You acknowledge that the limitations of liability set out in this Section 15 reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between Apoliticka and you. Apoliticka would not be able to provide the Service at the fees charged without these limitations.
Indemnification
You agree to indemnify, defend, and hold harmless Apoliticka and its directors, officers, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Notwithstanding the foregoing, Apoliticka reserves the right to seek injunctive or other equitable relief in any competent court to protect its Intellectual Property Rights or Confidential Information.
